Decision
compare company value
Meaning
Dilution changes the denominator.
If more shares or share-equivalents are created, the total ownership base expands. Your option count may remain unchanged, but the percentage of the company represented by those options can shrink.
Before
1,000 / 100,000 = 1.00%
After
1,000 / 200,000 = 0.50%
Economics
A smaller percentage can still be worth more.
If funding helps the company become much more valuable, a diluted stake may still have higher potential value. The key is to model ownership and valuation together.
Causes
Funding rounds are not the only source of dilution.
Dilution can come from new investor shares, option-pool expansion, convertible instruments or other securities becoming equity. Employees should understand which event occurred before drawing conclusions.
